MOST HERE — UAE SELLER / VENDOR AGREEMENT

This UAE Seller Agreement (“Agreement”) sets out the terms and conditions governing the relationship between Most Here and any seller, supplier, merchant, store, company or business that registers on, lists products through, or sells products using the Most Here marketplace and related services.

By registering as a Seller, activating a Seller account, listing a product, accepting an order, or clicking “I Agree and Sign Electronically,” the Seller confirms that it has read, understood and accepted this Agreement, together with the applicable Most Here policies, seller guidelines, commission schedule and other rules published by Most Here from time to time.

1. DEFINITIONS

For the purposes of this Agreement:

1.1 “Most Here” or “Platform”

Means the Most Here marketplace, website, mobile application, technology platform, seller dashboard, customer-facing channels and related services operated or made available by Most Here.

1.2 “Seller” or “Vendor”

Means any company, establishment, merchant, supplier, brand owner, distributor or other business entity approved to sell products through Most Here.

1.3 “Customer”

Means any individual or business that purchases products through the Platform.

1.4 “Product”

Means any goods, merchandise or other items listed or offered for sale by the Seller through Most Here.

1.5 “Order”

Means a customer purchase submitted through the Platform and accepted or processed in accordance with Most Here procedures.

1.6 “Seller Account”

Means the account and associated dashboard created by the Seller to access Most Here seller services.

1.7 “Seller Policies”

Means the policies, operational requirements, product guidelines, commission schedules, shipping rules, return policies and other instructions issued by Most Here from time to time.

2. NATURE OF THE RELATIONSHIP

2.1

Most Here operates an online marketplace that enables approved Sellers to display, market and sell products to Customers in the United Arab Emirates and, where applicable, other markets supported by the Platform.

2.2

The Seller remains an independent business and is solely responsible for its business activities, products, employees, suppliers, licenses, taxes and legal obligations.

2.3

Nothing in this Agreement creates a partnership, joint venture, employment relationship, franchise, fiduciary relationship or general agency between Most Here and the Seller.

2.4

Unless expressly agreed in writing, the Seller does not have authority to represent, bind or enter into commitments on behalf of Most Here.

2.5

The Seller may not represent itself as an employee, partner, legal representative or authorized agent of Most Here.

2.6

The Seller may not use the Most Here name, logo, trademarks, brand assets or other intellectual property outside the Platform without prior written authorization.

3. SELLER ELIGIBILITY AND REGISTRATION

3.1

To sell through Most Here, the Seller must provide complete, accurate and current information requested during registration or at any time thereafter.

3.2

Information may include:

• Legal company or establishment name

• Trade name

• Trade license number

• Issuing authority

• Emirate and business address

• Authorized representative

• Contact telephone number

• Business email address

• Bank account information

• VAT/TRN information, where applicable

• Product categories

• Brand ownership or distribution information

• Warehouse or fulfillment information

• Any other information reasonably required by Most Here

3.3

Most Here may request supporting documents, including:

• Trade license

• VAT certificate

• Emirates ID or passport of an authorized signatory

• Bank confirmation documents

• Purchase invoices

• Certificates of origin

• Brand authorization letters

• Distributor agreements

• Product registration or approval documents

• Product compliance certificates

• Warranty documents

3.4

The Seller must immediately notify Most Here if any registration information becomes inaccurate, expired or materially changes.

3.5

Most Here may reject, restrict, suspend or terminate an application or Seller Account where information is incomplete, inaccurate, misleading, fraudulent or cannot reasonably be verified.

4. BUSINESS LICENSES AND LEGAL COMPLIANCE

4.1

The Seller represents and warrants that it holds all licenses, permits, registrations and approvals required to conduct its business and sell its Products in the applicable market.

4.2

The Seller is solely responsible for complying with all applicable UAE federal and local laws, regulations, standards and regulatory requirements relating to its business and Products.

4.3

Where a Product is subject to special regulatory requirements, the Seller must obtain all required registrations, certifications, approvals or permits before listing or selling the Product.

4.4

This may include, where applicable, requirements relating to:

• Food products

• Cosmetics

• Medical products

• Health-related products

• Electronics

• Telecommunications equipment

• Children’s products

• Electrical appliances

• Automotive products

• Chemicals

• Imported goods

• Controlled or restricted products

4.5

The Seller must provide evidence of regulatory compliance when requested by Most Here or a competent authority.

4.6

Approval of a Product by Most Here does not relieve the Seller of any legal, regulatory, tax or licensing obligation.

5. PRODUCT ELIGIBILITY AND PROHIBITED PRODUCTS

5.1

All Products listed on Most Here must be:

• Genuine and authentic

• Legally sourced

• Safe for their intended use

• Accurately described

• In suitable condition for sale

• Compliant with applicable laws and standards

• Free from undisclosed defects

• Supported by appropriate documentation where required

5.2

Unless expressly approved by Most Here and legally permitted, Sellers may not list or sell:

• Counterfeit or replica Products

• Stolen Products

• Products of unknown or unverifiable origin

• Products infringing intellectual property rights

• Illegal or restricted Products

• Unsafe Products

• Recalled Products

• Products containing misleading information

• Products with false country-of-origin information

• Products using unauthorized trademarks, images or copyrighted content

• Products prohibited by Most Here policies

• Products that may expose Customers or Most Here to unreasonable legal, safety or reputational risk

5.3

Most Here may remove, restrict, deactivate or suspend any Product where it reasonably believes that the Product violates applicable law, this Agreement, Platform policies or third-party rights.

6. PRODUCT AUTHENTICITY AND SOURCE OF SUPPLY

6.1

The Seller guarantees that every Product listed through Most Here is authentic, legally sourced and authorized for sale.

6.2

The Seller must retain appropriate documentation establishing the source and authenticity of its Products.

6.3

Most Here may request:

• Purchase invoices

• Supplier invoices

• Distribution agreements

• Brand authorization letters

• Certificates of authenticity

• Import documents

• Customs documentation

• Certificates of origin

• Product registration documents

6.4

Failure to provide satisfactory evidence may result in Product removal, account restriction, payment hold, refund to the Customer or account termination.

6.5

Where counterfeit or unauthorized Products are reasonably suspected, Most Here may take immediate protective action, including:

• Removing the Product

• Suspending the listing

• Suspending the Seller Account

• Holding related payments

• Refunding affected Customers

• Recovering related costs

• Reporting the matter to the appropriate authority where required or appropriate

6.6

The Seller remains responsible for all claims, losses, penalties, damages and reasonable costs arising from counterfeit, unauthorized or unlawfully sourced Products.

7. PRODUCT INFORMATION AND CONTENT

7.1

The Seller must provide complete and accurate Product information, including where applicable:

• Product name

• Brand

• Model

• SKU

• Barcode

• Product specifications

• Dimensions

• Weight

• Color

• Size

• Capacity

• Materials

• Country of origin

• Package contents

• Warranty information

• Safety information

• Applicable certifications

• Product images

7.2

Product information must not be misleading, exaggerated or materially incomplete.

7.3

The Seller must not make false claims concerning:

• Product performance

• Health benefits

• Authenticity

• Warranty

• Origin

• Discounts

• Availability

• Certification

• Manufacturer

• Product specifications

7.4

The Seller must ensure that all images, videos, descriptions, logos, trademarks and other content uploaded to the Platform may legally be used by the Seller.

7.5

The Seller grants Most Here a non-exclusive, worldwide, royalty-free license to use, reproduce, display, adapt, format and distribute Seller-provided Product content solely for operating, marketing and promoting the Products and Platform.

7.6

Most Here may modify formatting, titles, descriptions, image order or presentation to improve Customer experience, provided that the essential nature of the Product is not intentionally misrepresented.

8. PRICING AND PROMOTIONS

8.1

The Seller must provide accurate and transparent Product pricing.

8.2

Prices must be displayed in UAE Dirhams or another currency supported by Most Here.

8.3

The Seller must not use misleading pricing practices, hidden charges or artificial discounts.

8.4

Any promotional price, discount or campaign submitted by the Seller must be genuine and commercially accurate.

8.5

Most Here may reject or suspend pricing that appears misleading, erroneous, commercially abusive or inconsistent with applicable law or Platform policies.

8.6

Seller-funded discounts require the Seller’s approval unless otherwise expressly agreed in writing.

9. VAT, TAXES AND INVOICING

9.1

The Seller is responsible for determining and complying with its UAE VAT and other applicable tax obligations.

9.2

Where the Seller is VAT registered, it must provide accurate VAT registration information, including its TRN.

9.3

The Seller must issue valid tax invoices whenever required by applicable law.

9.4

All tax information submitted to Most Here must be accurate, complete and current.

9.5

Most Here may request tax invoices, accounting records or other supporting documents relating to transactions.

9.6

Any tax liability, penalty, assessment, claim or cost arising from incorrect information or non-compliance by the Seller shall remain the Seller’s responsibility, subject to applicable law.

10. INVENTORY AND PRODUCT AVAILABILITY

10.1

The Seller must maintain accurate and current inventory information.

10.2

The Seller must not accept an Order for a Product that is unavailable unless the Product is expressly offered on an approved pre-order or on-demand basis.

10.3

Where Products are sold on an on-demand or pre-order basis, the expected preparation and delivery period must be clearly disclosed.

10.4

Repeated cancellations caused by inaccurate inventory may result in:

• Operational charges

• Reduced Seller visibility

• Product suspension

• Account restrictions

• Seller performance penalties

• Account termination

11. ORDER PROCESSING AND FULFILLMENT

11.1

The Seller must process Orders within the preparation timeframe specified by Most Here.

11.2

Products must exactly match the Customer's Order, including:

• Product

• Quantity

• Model

• Color

• Size

• Variant

• Condition

• Accessories

• Packaging

11.3

The Seller is responsible for errors resulting from incorrect preparation, labeling, packaging or handover.

11.4

Most Here may cancel an Order, refund the Customer or recover reasonable related costs where the Seller causes an Order error or unreasonable delay, subject to applicable law and the applicable Platform policy.

12. SHIPPING AND DELIVERY

12.1

Most Here may support different fulfillment models, including:

FBB — Fulfillment by Most Here:
Most Here or its designated logistics partner manages fulfillment or delivery in accordance with the applicable service terms.

FBS — Fulfillment by Seller:
The Seller prepares and dispatches the Order using the approved delivery process.

12.2

Under Seller-fulfilled delivery, the Seller is responsible for:

• Timely dispatch

• Proper packaging

• Accurate shipping information

• Product safety during preparation

• Handover to the approved carrier

• Delivery requirements applicable to the Order

12.3

Under Most Here fulfillment, the Seller must provide the Product in the required condition, packaging and timeframe.

12.4

Unless otherwise agreed in writing, the Seller may be responsible for shipping, return and related operational costs attributable to the Seller’s error, Product defect, incorrect listing or non-compliance.

13. RETURNS, EXCHANGES AND REFUNDS

13.1

The Seller must comply with the Most Here return and refund policy and all mandatory consumer protection requirements applicable to the transaction.

UAE consumer protection rules provide protections concerning product quality, declared pricing, consumer safety and consumer data, among other matters. (U.AE)

13.2

Returns or refunds may be required where, for example:

• The Product is defective

• The Product is damaged

• The wrong Product was delivered

• The Product materially differs from its description

• Contents are missing

• Specifications materially differ from the listing

• The Product is counterfeit or unauthorized

• A valid warranty or legal consumer right applies

13.3

Where a return results from the Seller’s error or Product non-compliance, the Seller may be responsible for applicable return shipping, replacement, refund and operational costs, subject to applicable law.

13.4

Customer preference returns shall be handled according to the applicable Most Here return policy and any mandatory legal rights.

13.5

Most Here may review return disputes using available evidence, including:

• Product photographs

• Delivery records

• Order information

• Customer communications

• Seller responses

• Inspection results

• Product specifications

• Applicable law and Platform policies

13.6

Repeated complaints, defective Products, excessive returns or non-compliance may result in corrective action against the Seller Account.

14. WARRANTY AND AFTER-SALES SERVICE

14.1

The Seller must clearly state any applicable manufacturer, distributor or Seller warranty.

14.2

Warranty information must accurately identify:

• Warranty duration

• Warranty provider

• Covered Products

• Main exclusions

• Service process

• Authorized service center, where applicable

14.3

A Seller-provided warranty must be genuine, enforceable and honored according to its published terms and applicable law.

14.4

The Seller is responsible for fulfilling its warranty and after-sales obligations unless a separate written arrangement states otherwise.

15. COMMISSIONS AND PLATFORM FEES

15.1

The Seller shall pay Most Here the applicable commission for qualifying sales completed through the Platform.

15.2

Commission rates shall be determined by the applicable Most Here UAE Seller Commission Schedule.

15.3

The Commission Schedule forms part of this Agreement and may be communicated through the Seller dashboard, official email or another authorized Platform communication channel.

15.4

Unless expressly stated otherwise, listed commission rates do not include VAT or other applicable taxes.

15.5

Depending on the applicable commercial arrangement, deductions may include:

• Most Here commission

• Payment processing charges

• Fulfillment charges

• Shipping charges

• Return charges

• Packaging charges

• Customer compensation

• Approved promotional costs

• Applicable penalties or operational charges

• Other amounts expressly payable by the Seller

15.6

Most Here may amend commission rates by providing the Seller with reasonable advance notice, including at least 15 days’ notice where commercially and legally applicable.

15.7

Continued use of the Platform following the effective date of a properly notified commission change may constitute acceptance, subject to applicable law.

16. SELLER PAYMENTS AND FINANCIAL SETTLEMENT

16.1

Most Here may collect Customer payments on behalf of the Platform transaction and process Seller settlements according to the applicable payment schedule.

16.2

Unless otherwise agreed in writing, Seller settlements will generally be processed every 10 days, subject to:

• Successful delivery

• Completion of the applicable return period

• No unresolved complaint

• No payment dispute

• No suspected fraud

• Completion of required verification

16.3

Seller funds may remain subject to applicable deductions, reserves, refunds, chargebacks and dispute adjustments.

16.4

Most Here may temporarily place a reasonable hold or reserve on funds where necessary to manage:

• Customer complaints

• Returns

• Refunds

• Chargebacks

• Suspected fraud

• Counterfeit investigations

• Regulatory concerns

• Unresolved disputes

16.5

Where permitted under this Agreement and applicable law, Most Here may hold disputed or risk-related funds for up to 60 days, or for a longer period where reasonably necessary to resolve an ongoing dispute, legal claim, investigation or regulatory matter.

16.6

Any undisputed balance remaining after applicable deductions and resolution of relevant claims shall be released according to the applicable settlement process.

17. CUSTOMER SERVICE AND SELLER RESPONSE TIMES

17.1

Most Here may provide initial Customer support through its official channels.

17.2

The Seller must cooperate promptly with Customer complaints, returns, warranty requests and Order investigations.

17.3

Unless a different period is specified for a particular matter, the Seller must respond to an official Platform inquiry within 48 hours.

17.4

Failure to respond may result in Most Here making a reasonable decision based on the available evidence.

17.5

The Seller may challenge a material decision by submitting an objection within 7 days of notification.

17.6

Most Here will review the objection and, where reasonably practicable, respond within 10 business days.

18. CUSTOMER DATA AND PRIVACY

18.1

Customer information provided to the Seller through Most Here may only be used to the extent necessary to fulfill the relevant Order and provide related after-sales service.

18.2

The Seller must not:

• Sell Customer data

• Rent Customer data

• Use Customer data for unrelated marketing

• Add Customers to external marketing lists without a lawful basis and required consent

• Share Customer data with unauthorized third parties

• Use Customer information to divert Customers from Most Here

18.3

The Seller must implement reasonable technical and organizational safeguards to protect Customer information against unauthorized access, disclosure, alteration, loss or misuse.

18.4

The Seller must comply with applicable UAE data protection and privacy requirements.

The UAE's federal personal data protection framework is established by Federal Decree-Law No. 45 of 2021, which addresses the collection, processing, storage and protection of personal data and the rights and obligations of relevant parties. (U.AE)

18.5

If the Seller becomes aware of a suspected data breach involving Customer information obtained through Most Here, it must notify Most Here without undue delay and cooperate with reasonable investigation and remediation requirements.

19. PROHIBITION ON CUSTOMER DIVERSION

19.1

The Seller must not use the Platform or Customer information obtained through Most Here to bypass the Platform or avoid applicable commissions.

19.2

The Seller must not intentionally direct Customers to external purchasing channels through:

• Phone numbers

• WhatsApp numbers

• QR codes

• External websites

• Social media accounts

• Direct payment instructions

• External invoices

• Packaging inserts

• Product images

• Product descriptions

• Customer messages

where the purpose is to divert the transaction away from Most Here.

19.3

Violation of this section may result in suspension, termination, withholding of amounts reasonably related to the violation and recovery of applicable losses, subject to applicable law.

20. SELLER ACCOUNT SECURITY

20.1

The Seller is responsible for maintaining the confidentiality of its Seller Account credentials.

20.2

The Seller must restrict access to authorized personnel only.

20.3

The Seller must immediately notify Most Here if it suspects:

• Unauthorized access

• Credential theft

• Account compromise

• Fraudulent activity

• Unauthorized Orders

• Unauthorized changes to payment information

20.4

Most Here may temporarily restrict account functionality where reasonably necessary to protect the Seller, Customers or Platform.

21. PERFORMANCE AND SELLER QUALITY STANDARDS

Most Here may monitor Seller performance using indicators including:

• Order cancellation rate

• Order preparation time

• Delivery performance

• Return rate

• Product defect rate

• Customer rating

• Complaint rate

• Stock accuracy

• Product authenticity

• Response time

• Warranty performance

• Policy compliance

21.1

Most Here may apply reasonable performance measures, including reduced Product visibility, listing restrictions, corrective actions, suspension or termination.

21.2

Seller performance standards may be communicated through the Seller dashboard or applicable Platform policies.

22. MARKETING, PROMOTIONS AND ADVERTISING

22.1

Most Here may operate marketing campaigns designed to promote Products and improve Customer engagement.

22.2

A Seller-funded campaign must be approved or accepted by the Seller according to the applicable campaign terms.

22.3

Most Here may promote Seller Products using approved Product information and content supplied by the Seller.

22.4

The Seller must ensure that all promotional claims and information supplied to Most Here are accurate and legally compliant.

23. INTELLECTUAL PROPERTY

23.1

Each party retains ownership of its respective trademarks, copyrights, designs, software, content and other intellectual property.

23.2

The Seller must not upload, sell or promote Products that infringe third-party intellectual property rights.

23.3

The Seller must obtain all necessary rights and permissions for Product images, descriptions, trademarks, videos, logos and other materials it uploads.

23.4

The Seller authorizes Most Here to display approved Seller trademarks and Product content on the Platform for the purpose of operating and promoting the Seller's Products.

23.5

The UAE's current trademark framework includes Federal Decree-Law No. 36 of 2021 on Trademarks. (U.AE)

24. CONFIDENTIALITY

24.1

The Seller must keep confidential all non-public information received from Most Here, including:

• Customer information

• Commission arrangements

• Commercial terms

• Internal pricing

• Marketing plans

• Sales information

• Operational processes

• Platform data

• Technical information

• Business strategies

24.2

Confidential information may only be disclosed where:

• Required by law

• Required by a competent authority

• Necessary for professional advisers under confidentiality obligations

• Authorized in writing by Most Here

24.3

Confidentiality obligations survive termination of the Seller relationship for as long as the information remains confidential or protected by applicable law.

25. SELLER REPRESENTATIONS AND WARRANTIES

The Seller represents and warrants that:

25.1

It is legally authorized to enter into this Agreement.

25.2

All information provided to Most Here is accurate and not misleading.

25.3

It possesses the necessary licenses and approvals.

25.4

Its Products are authentic, lawful and accurately described.

25.5

Its Products do not knowingly infringe third-party rights.

25.6

It will comply with applicable tax, consumer protection, privacy, product safety and other legal requirements.

25.7

It will comply with this Agreement and applicable Most Here policies.

26. INDEMNIFICATION

26.1

To the extent permitted by applicable law, the Seller shall be responsible for and shall indemnify Most Here against third-party claims, losses, penalties, damages and reasonable costs arising from the Seller's:

• Product defects

• Counterfeit Products

• Unauthorized Products

• Intellectual property infringement

• Misleading Product information

• Regulatory violations

• Tax non-compliance

• Data misuse

• Breach of warranty obligations

• Failure to fulfill Orders

• Breach of this Agreement

• Violation of applicable law

26.2

This provision does not limit any liability that cannot legally be excluded or limited under applicable law.

27. LIMITATION OF PLATFORM RESPONSIBILITY

27.1

Most Here provides marketplace and related Platform services and does not manufacture Products sold by Sellers unless expressly stated otherwise.

27.2

The Seller remains primarily responsible for Product quality, safety, authenticity, legal compliance, warranty and accuracy of Product information.

27.3

Nothing in this Agreement excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable UAE law.

27.4

Subject to applicable law, Most Here shall not be responsible for losses arising solely from information, Products or services supplied by the Seller.

28. SUSPENSION AND TERMINATION

Most Here may suspend, restrict or terminate a Seller Account where reasonably necessary, including in cases involving:

• Counterfeit Products

• Fraud

• False registration information

• Serious legal or regulatory violations

• Repeated cancellations

• Excessive complaints

• Repeated defective Products

• Customer data misuse

• Customer diversion

• Intellectual property infringement

• Failure to honor warranties or returns

• Material breach of this Agreement

• Conduct that creates significant risk to Customers or Most Here

28.1

Where appropriate and legally permissible, Most Here may provide notice and an opportunity to remedy a breach.

28.2

For serious or urgent violations, Most Here may suspend or restrict the account immediately.

28.3

Termination does not eliminate obligations that accrued before termination.

28.4

Payment holds, returns, refunds, warranties, disputes, confidentiality, indemnification and other obligations that by their nature survive termination shall continue after termination.

29. ELECTRONIC ACCEPTANCE AND SIGNATURE

29.1

The Seller agrees that electronic acceptance of this Agreement may constitute acceptance of the Agreement in accordance with applicable UAE law.

29.2

Acceptance may occur by:

• Clicking “I Agree and Sign Electronically”

• Selecting an agreement acceptance checkbox

• Completing an electronic signature process

• Entering a verification code

• Completing another approved electronic acceptance mechanism

29.3

Most Here may maintain an electronic record of acceptance, including:

• Seller name

• Store name

• Authorized representative

• Email address

• Phone number

• Date and time

• IP address

• Device or browser information

• Agreement version

• Verification method

29.4

The UAE Electronic Transactions and Trust Services Law, Federal Decree-Law No. 46 of 2021, provides the legal framework governing electronic documents and electronic signatures in the UAE. (U.AE)

29.5

The electronic acceptance record may be retained and used as evidence of acceptance, subject to applicable law.

30. COMMISSION SCHEDULE

30.1

The Seller agrees to pay the applicable Most Here commission for completed qualifying transactions.

30.2

The applicable rates shall be stated in the Most Here UAE Seller Commission Schedule.

30.3

The Commission Schedule forms part of this Agreement.

30.4

Most Here may update commission rates by providing the applicable notice in accordance with Section 15 and applicable law.

30.5

Any commission rate stated by Most Here is exclusive of VAT unless expressly stated otherwise.

31. PLATFORM POLICIES AND UPDATES

31.1

The Seller agrees to comply with all applicable Most Here policies and seller guidelines.

31.2

Most Here may update operational policies when reasonably necessary to:

• Improve Customer experience

• Comply with legal requirements

• Improve Platform security

• Address fraud or abuse

• Improve logistics

• Update commercial processes

• Introduce new Platform functionality

31.3

Material changes will be communicated through appropriate channels, such as the Seller dashboard or registered email address.

31.4

Unless otherwise required by applicable law, continued use of the Platform after an amendment becomes effective constitutes acceptance of the revised terms.

31.5

Most Here may retain archived versions of previous Agreement and policy versions for record-keeping purposes.

32. FORCE MAJEURE

32.1

Neither party shall be responsible for delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control.

32.2

Such circumstances may include, where applicable:

• Natural disasters

• Epidemics or pandemics

• Government action

• Regulatory restrictions

• War or civil unrest

• Major infrastructure failure

• Internet or telecommunications outages

• Logistics disruptions

• Cybersecurity incidents

• Power failures

• Other events beyond reasonable control

32.3

The affected party shall take reasonable steps to minimize the impact of the event.

33. NOTICES AND COMMUNICATIONS

33.1

Official communications may be delivered through:

• Seller dashboard

• Registered email

• Official Platform notifications

• Other communication channels expressly designated by Most Here

33.2

The Seller is responsible for maintaining access to its registered email address and Seller dashboard.

33.3

The Seller must ensure that its contact information remains current.

34. DISPUTE RESOLUTION

34.1

The parties shall first attempt to resolve any dispute amicably through good-faith communication.

34.2

Unless a different period is required by applicable law or agreed in writing, the parties shall attempt to resolve the dispute within 15 days after formal notification of the dispute.

34.3

If the dispute cannot be resolved amicably, it shall be subject to the jurisdiction of the competent courts of the Emirate of Dubai, United Arab Emirates, unless the parties have separately agreed in writing to arbitration or another legally permissible dispute-resolution mechanism.

35. GOVERNING LAW

35.1

This Agreement shall be governed by the applicable laws of the United Arab Emirates and, where applicable, the laws and regulations in force in the Emirate of Dubai.

35.2

Nothing in this Agreement is intended to exclude mandatory rights or protections that cannot lawfully be excluded under applicable law.

For official verification of current UAE legislation and amendments, UAE Government guidance directs users to the UAE Legislation platform and the UAE Official Gazette. (U.AE)

36. SEVERABILITY

If any provision of this Agreement is determined to be invalid, unlawful or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable where legally permissible, and the remaining provisions shall continue in effect.

37. NO WAIVER

Failure by Most Here to enforce any provision of this Agreement at any particular time shall not constitute a waiver of its right to enforce that provision in the future.

38. ASSIGNMENT

38.1

The Seller may not assign, transfer or subcontract its rights or obligations under this Agreement without prior written approval from Most Here, except where permitted by applicable law.

38.2

Most Here may assign or transfer this Agreement, or its rights and obligations under it, in connection with a corporate restructuring, merger, acquisition, sale of business or transfer of the Platform, subject to applicable law.

39. ENTIRE AGREEMENT

This Agreement, together with the applicable Commission Schedule, Seller Policies, Platform rules and any written commercial terms expressly incorporated into the relationship, constitutes the agreement between Most Here and the Seller regarding the Seller's use of the Platform.

Where there is a conflict between documents, the following order shall generally apply unless otherwise stated:

1. Mandatory applicable law

2. Specific written commercial agreement signed by both parties

3. This Seller Agreement

4. Applicable Seller Policies

5. General Platform guidelines

40. LANGUAGE

This Agreement may be provided in English and/or Arabic.

Where both language versions are provided, Most Here should specify which version will prevail in the event of inconsistency, subject to applicable UAE law and any mandatory language requirements.

41. FINAL SELLER ACKNOWLEDGMENT

By registering as a Seller, listing Products, accepting Orders, or electronically accepting this Agreement, the Seller confirms that:

• It has read and understood this Agreement.

• It has authority to enter into this Agreement.

• All information submitted to Most Here is accurate.

• It holds the required licenses and approvals.

• Its Products are authentic and legally sourced.

• Its Products comply with applicable requirements.

• It will provide accurate Product information.

• It will comply with applicable VAT and tax obligations.

• It will fulfill Orders accurately and within the required timeframe.

• It will comply with applicable return, refund and warranty obligations.

• It will protect Customer information.

• It will not divert Customers outside the Platform.

• It will comply with Most Here policies.

• It accepts the applicable Most Here commission and fee structure.

• It understands that payment settlements may be subject to applicable deductions, returns, disputes and risk controls.

• It accepts the electronic acceptance process.

• It agrees to be bound by this Agreement.
